About the Role

This firm is seeking a Corporate Associate to join its Investment Services team in Chicago. The ideal candidate will have 1-4 years of experience in corporate or securities law , with a focus on registered investment companies, investment advisers, private funds, and regulatory compliance matters under federal securities laws.

What You’ll Do

• Advise clients on federal securities law matters , including compliance with the Investment Company Act of 1940 and the Securities Act of 1933
• Work on regulatory and transactional matters related to registered investment companies, investment advisers, and private funds
• Provide counsel on fund structuring, formation, and ongoing compliance obligations
• Play a key role in investment company mergers, acquisitions, and reorganizations
• Draft and negotiate disclosure documents, regulatory filings, and fund governance materials
• Manage multiple client matters and collaborate with senior attorneys on business development initiatives

What We’re Looking For

• J.D. from an accredited law school with strong academic credentials
• 1-4 years of corporate or securities law experience in a law firm setting
• Experience working with registered investment companies, investment advisers, and private funds
• Knowledge of federal securities laws , including the Investment Company Act of 1940 and the Securities Act of 1933
• Transactional and M&A experience involving investment companies is a plus
• Admission to practice in Illinois (or in the process of obtaining admission).
• Strong drafting, analytical, and organizational skills
