Corporate Paralegal - LA Law Firm - $110-150k - Hybrid

Growing law firm in Los Angeles is seeking a highly organized and detail-oriented Corporate Paralegal to join their team!

The successful candidate will provide comprehensive paralegal support to attorneys in a fast-paced and sophisticated transactional practice, focusing primarily on corporate matters, mergers and acquisitions, private equity investments, and related transactions. This role requires strong analytical, communication, and technical skills, as well as the ability to manage multiple priorities and work independently.

Responsibilities:

  • Transactional Support:
    • Assist attorneys in all stages of corporate and private equity transactions, including due diligence, drafting and reviewing ancillary documents, closing coordination, and post-closing matters.
    • Conduct thorough due diligence reviews, including organizing and analyzing large volumes of documents in virtual data rooms.
    • Prepare and maintain closing checklists and manage the execution and distribution of closing documents.
    • Assist with the preparation of SEC filings (e.g., Form D).
    • Coordinate and manage electronic and physical closing binders.
  • Corporate Governance:
    • Assist with the formation, maintenance, and dissolution of corporations, limited liability companies, and other business entities.
    • Prepare and file formation documents, qualifications, amendments, dissolutions, and other corporate filings with state and federal agencies.
    • Maintain and update corporate minute books, stock ledgers, and other corporate records.
    • Assist with the preparation of board and shareholder meeting materials, including agendas, resolutions, and minutes.
  • Research and Analysis:
    • Conduct legal and factual research using online databases (e.g., LexisNexis, Westlaw), corporate databases, and other resources.
    • Summarize research findings and prepare memoranda for attorneys.
    • Monitor and track relevant legal and regulatory developments.
  • Document Management:
    • Organize, maintain, and manage electronic and physical case files and document databases.
    • Implement and maintain document management systems.
    • Prepare and organize exhibits and appendices for legal documents.
  • Communication and Client Interaction:
    • Communicate effectively with attorneys, clients, opposing counsel, and other parties involved in transactions.
    • Assist with client communication and information gathering.

Qualifications:

  • Bachelor's degree or equivalent experience.
  • Paralegal certificate from an ABA-approved program preferred.
  • Experience as a corporate paralegal, with specific experience in private equity transactions preferred.
  • Strong understanding of corporate law, business entities, and transactional processes.
  • Proficiency in conducting legal research using online databases (e.g., LexisNexis, Westlaw).
  • Excellent organizational skills, attention to detail, and the ability to manage multiple projects simultaneously.
  • Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook) and document management systems.

Preferred Qualifications:

  • Experience with specific document management systems (e.g., iManage, NetDocuments).
  • Experience with virtual data room platforms (e.g., Intralinks, Datasite).
  • Knowledge of SEC filing procedures.
